AGM/EGM THROUGH VC or OAVM up to 30TH JUNE, 2022

GENERAL CIRCULAR NO. 19/2021

DTD. 08TH DECEMBER, 2021

The MCA in continuation to its previous General Circulars issued in respect to allowing Companies to hold AGM through video conferencing or other audio-visual means has decided to allow the companies whose AGM is due in the year 2021, to conduct their AGM on or before 30th June, 2022 in accordance with the requirements laid down in PARA 3 & 4 of General Circular no. 20/2020 dtd. 05.05.2020.















MCA

GENERAL CIRCULAR NO. 21/2021

DTD. 14TH DECEMBER, 2021

The MCA in continuation to its previous General Circulars (including GENERAL CIRCULAR NO. 19/2021 DTD. 08TH DECEMBER, 2021) issued in respect to allowing Companies to hold AGM through video conferencing or other audio-visual means has decided to allow the companies who are proposing to organize AGMs in the year 2022 for the F.Y. ended/ending any time before/on 31st March, 2022 to conduct their AGM on or before 30th June, 2022 in accordance with the requirements laid down in PARA 3 & 4 of General Circular no. 20/2020 dtd. 05.05.2020.
















Common note in both circulars i.e. GENERAL CIRCULAR NO. 19/2021 and GENERAL CIRCULAR NO. 21/2021


It is clarified that, this circular shall in no way be construed as extension of time for holding AGM and the Companies which do not conduct their AGM within the due date shall be liable under the relevant provisions of the Companies Act, 2013.


MCA

GENERAL CIRCULAR NO. 20/2021

DTD. 08TH DECEMBER, 2021


The MCA in continuation to its previous General Circulars issued in respect to allowing Companies to hold EGM through video conferencing or other audio-visual means has further extended the period up to 30th June, 2022.


Accordingly, the Companies can now conduct its EGM through VC or OAVM or transact items through postal ballot in accordance with the provisions/framework provided in the previous General Circulars up to 30th June, 2022.
